Consultation in Writing definition

Consultation in Writing means a resolution in writing signed or approved by or on behalf of the Noteholders representing not less than 75 per cent. in nominal amount of the Notes outstanding.

  • Resolutions subject to a Consultation in Writing shall be approved, on first notice (i) by Noteholders expressing their approval or rejection of such proposed resolutions hold at least one fifth of the principal amount of the Notes then outstanding and (ii) by Noteholders expressing their approval hold at least 66.6 per cent.

  • Any resolution approved by way of a Consultation in Writing shall, for all purposes, have the same effect as a resolution passed at a General Meeting of such Noteholders.

  • Consultation means the good faith attempt by the Depositary to discuss, if practicable, the relevant issue in a timely manner with a person employed by the Company reasonably believed by the Depositary to be empowered by the Company to engage in such discussion on behalf of the Company.

  • Independent Valuation Provider means any of Xxxxxxx & Marsal, Xxxxxxxx Xxxxx Xxxxxx & Xxxxx Capital, Inc., Duff & Xxxxxx LLC, Xxxxxx, Xxxxxx and Company, Lincoln Partners Advisors, LLC, Xxxxx Xxxxxx Xxxx, LLC and Valuation Research Corporation and Xxxxx, or any other Independent nationally recognized third-party appraisal firm selected by the Administrative Agent, and reasonably acceptable to the Borrower.
