The Administrative Agent shall take such action with respect to such Event of Default or Unmatured Default as shall be directed by any of the Co-Agents provided that the Administrative Agent is indemnified to its satisfaction by such Co-Agent and its Constituent Liquidity Banks against any and all liability, cost and expense which may be incurred by it by reason of taking any such action.
Without limiting the foregoing, and subject thereto, at the Blocker C Effective Time, the Surviving Blocker C shall thereupon and thereafter possess all of the rights, property, privileges, powers and franchises, of a public as well as a private nature, of the Constituent Blocker C Entities, and shall become subject to all the debts, liabilities, restrictions, disabilities and duties of each of the Constituent Blocker C Entities.
