Compuware Entities definition

Compuware Entities means Compuware and its Subsidiaries (other than Covisint), and “Compuware Entity” means any one of the Compuware Entities in place on the Effective Date and any entity which becomes a Subsidiary of Compuware thereafter.

Examples of Compuware Entities in a sentence

  • At any time, at the request of any other Party, each Party shall cause the respective Compuware Entities or Covisint Entities, as applicable, to execute and deliver releases reflecting the provisions hereof.

  • Compuware agrees, for itself and as agent for the Compuware Entities, not to make any claim or demand, or commence any Action asserting any claim or demand, including any claim of contribution or any indemnification, against the Covisint Entities, or any other Person released pursuant to Section 6.1(b), with respect to any Liabilities released pursuant to Section 6.1(b).

  • Compuware and the Compuware Entities may make such number of copies of the Covisint Hosted Services, and Covisint and the Covisint Entities may make such number of copies of the Compuware Licensed Products and Hosted Services, in each case, as is reasonably necessary to accomplish the permitted uses set forth in Section 2.1. All such copies shall remain the property of the applicable Licensor and shall at all times be subject to the terms and conditions of this Agreement.

  • SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”

  • Transferred Entities means the entities set forth on Schedule 1.5.

  • Seller Entities means, collectively, Seller and all Seller Subsidiaries.

  • Acquired Companies means, collectively, the Company and the Company Subsidiaries.

  • Newco has the meaning set forth in the first paragraph of this Agreement.

  • Spinco Subsidiaries means all direct and indirect Subsidiaries of Spinco immediately following the Contribution.

  • Seller Affiliates has the meaning assigned to such term in Section 2.7.1;

  • Acquired Entities means the Company and the Company Subsidiaries.

  • Target Companies means the Target and its Subsidiaries.

  • Company Entities means the Company and the Company Subsidiaries.

  • SpinCo shall have the meaning set forth in the Preamble.

  • Retained Group means the Seller, its subsidiaries and subsidiary undertakings from time to time, any holding company of the Seller and all other subsidiaries or subsidiary undertakings of any such holding company (except members of the Group);

  • Released Entities means released entities as such term is defined

  • SpinCo Group means (a) prior to the Effective Time, SpinCo and each Person that will be a Subsidiary of SpinCo as of immediately after the Effective Time, including the Transferred Entities, even if, prior to the Effective Time, such Person is not a Subsidiary of SpinCo; and (b) on and after the Effective Time, SpinCo and each Person that is a Subsidiary of SpinCo.

  • Remainco Group means RemainCo and its Subsidiaries, other than the SpinCo Group.

  • Seller Group means, at any time, the group of companies comprised of Xxxxx Fargo & Company and its subsidiaries at that time.

  • Partnership Group Member means any member of the Partnership Group.

  • Participating Entities and “Participating Entity” are defined on the Coversheet.

  • Buyer Entities means, collectively, Buyer and all Buyer Subsidiaries.

  • Seller Group Member means (a) Seller and its Affiliates, (b) directors, officers and employees of Seller and its Affiliates and (c) the successors and assigns of the foregoing.

  • Seller Affiliate means any Affiliate of Seller.

  • Seller Parties has the meaning set forth in the preamble to this Agreement.

  • Target Company means each of the Company and its direct and indirect Subsidiaries.

  • Acquired Company means any business, corporation or other entity acquired by the Company or any Subsidiary.
