Company Reserve Reports definition

Company Reserve Reports means the Company Israel Reserve Report and the Company US Reserve Report.

Company Reserve Reports has the meaning set forth in Section 3.21 of this Agreement.

Company Reserve Reports means the reports furnished to Parent by Netherland, Xxxxxx & Associates, Inc. for the United States, Argentina and Yemen and XxXxxxxx and XxxXxxxxxxx for Bolivia or any other qualified and independent third party acceptable to Parent, containing statements and information with respect to the oil and gas reserves of the Company and its Subsidiaries as of January 1, 2005.

Examples of Company Reserve Reports in a sentence

• Except as disclosed in Section 5.21 of the Disclosure Schedule, there has been no change in respect of the matters addressed in the Company Reserve Reports that would have a Material Adverse Effect.

• Except for changes generally affecting the oil and gas exploration, development and production industry (including changes in commodity prices) and normal depletion by production, there has been no change in respect of the matters addressed in the Company Reserve Reports that, individually or in the aggregate, has had or would reasonably be expected to have a Company Material Adverse Effect.

• Except as disclosed in Section 5.21 of the Disclosure Schedule, the Company is not aware of any material assumption set forth in any Company Reserve Reports not being reasonable and based on a good faith judgment in all respects.

• Except for changes generally affecting the oil and gas exploration, development and production industry (including changes in commodity prices) and normal depletion by production, there has been no material change in respect of the matters addressed in the Company Reserve Reports.

• The oil and gas reserve estimates of the Company set forth in the Company Reserve Reports are derived from reports that have been prepared by the Company Report Preparer as set forth therein, and such reserve estimates fairly reflect, in all material respects, the oil and gas reserves of the Company at the dates indicated therein and are in accordance with the rules promulgated by the SEC and applied on a consistent basis throughout the periods reflected therein.

Company Reserve Reports has the meaning set forth in Section 4.13.
