Company Public Sale has the meaning set forth in Section 2.03(a).

Company Public Sale means any offering of the Company’s equity securities for its own account or for the account of any other Person(s).

Examples of Company Public Sale in a sentence

• If requested by the managing underwriter or underwriters of any such Company Public Sale (and only if the Sponsor agrees to such request), each Holder shall execute a separate agreement to the foregoing effect.

• If requested by the managing underwriter or underwriters of any such Company Public Sale (and, with respect to any such Company Public Sale other than the IPO, if and only if Investor Holdco, or, if Investor Holdco is no longer a Holder of Registrable Securities, then the Majority Holders, agrees to such request), the Holders shall execute a separate agreement to the foregoing effect.

• In addition, if the Company receives a Demand Registration and the Company is then in the process of engaging in a Company Public Sale, the Company shall inform the Holders of the Company’s intention to engage in a Company Public Sale and may require the Holders to withdraw such request for registration for a period of up to 120 days so that the Company may complete the Company Public Sale.

Company Public Sale has the meaning set forth in Section 2.2(a) of this Agreement.

Company Public Sale. Any public offering by the Company made pursuant to a registration statement of the Company filed with the Commission under the Securities Act of its own common stock for its own account, except (a) a registration pursuant to the Shelf Registration under Section 2.1 below, (b) a registration pursuant to a Registration Statement on Form S-4 or S-8 or any successor form to such Forms, (c) a registration of securities solely relating to an offering and sale to employees and/or directors of the Company pursuant to any employee stock plan or other employee benefit plan arrangement, (d) a registration of securities issued solely in an acquisition or business combination, or (e) a universal shelf registration statement to the extent sales of securities thereunder are not made in an underwritten offering.
