Except as disclosed in the Disclosure Record, the Public Shares are not and will not be subject to the preemptive rights of any holders of any security of the Company or similar contractual rights granted by the Company.
The Company agrees promptly to notify each Underwriter of the commencement of any litigation or Proceedings against the Company or any of its officers or directors in connection with the issue and sale of the Public Shares or in connection with the Registration Statement, the Prospectus, or the Canadian Prospectus.
