Common Released Indemnification Payment definition

Common Released Indemnification Payment means an amount in cash equal to (x) the amount reserved and not paid to the Shareholders upon the first or second anniversary of the Closing Date, as applicable, for any indemnification claim made under Section 9.1, less the amount payable in satisfaction of such indemnification claim multiplied by (y) the Common Percentage.
Common Released Indemnification Payment shall have the meaning set forth in section 1.8(c)(vi).

  • Indemnity, Subrogation and Contribution Agreement means the Indemnity, Subrogation and Contribution Agreement among Xxxxx 0, the Borrower, the Subsidiary Loan Parties and the Collateral Agent, substantially in the form of Exhibit C-3.
