Indemnification Threshold is an amount equal to two percent (2%) of the aggregate value of the consideration paid to the STOCKHOLDERS on the Closing Date pursuant to Section 2.2 of this Agreement unless this Agreement is terminated prior to the Closing Date, in which event the Indemnification Threshold is an amount equal to two percent (2%) of the Minimum Value set forth in Annex I.
