Collateral Update Certificate definition

Collateral Update Certificate means a certificate signed by a Designated Financial Officer, in substantially the form of EXHIBIT B-2 annexed hereto.

  • A Designated Financial Officer shall have executed and delivered to the Agent a Collateral Update Certificate substantially in the form of EXHIBIT B-2 annexed hereto, which Collateral Update Certificate shall show Domestic Excess Availability under the Revolving Credit Commitments of not less than $15,000,000 (after giving effect to the payment of all sums and expenses, the issuance of all Letters of Credit and the funding of all Loans to be paid, issued or funded on the Closing Date).
