Class B Director definition

Class B Director means any Director who is elected by a separate class vote of the Class B Common Stock or who was appointed to fill a vacancy in respect of any Director so elected.

Class B Director means any member of the AK Board nominated by the Class B Holders.

Class B Director means the Person elected to the board of directors of the Company by the holders of the Class B Common Stock voting separately as a class in such election.

Examples of Class B Director in a sentence

• In the event the general meeting of shareholders has appointed different classes of directors, decisions shall be taken by a majority of the directors present or represented including at least one (1) Class A Director and one (1) Class B Director.

• Each share of Series B Convertible Preferred Stock shall be entitled to one vote and any election or removal of the Class B Director shall be subject to the affirmative vote of all of the Investors.

• In the event the general meeting of shareholders has appointed different classes of directors, the board of directors may deliberate or act validly only if at least one (1) Class A Director and one (1) Class B Director is present or represented at the meeting.

• Unless otherwise agreed by the holders of the Class B Common Stock (or as otherwise required by law or stock exchange rules), one (1) member of such committee shall be a Class B Director for so long as there are Class B Directors.

• In the absence of a sole remaining Class B Director, such vacancies shall be filled by a majority vote of the holders of the Class B Securities, voting together as a single class.

Class B Director means a Director appointed by the Class B Member.
