Class A Common Stock Equivalents definition

Class A Common Stock Equivalents means any securities that are convertible into or exchangeable for Class A Common Stock or any warrants, options or other rights to subscribe for or purchase Class A Common Stock or any such convertible or exchangeable securities.
Class A Common Stock Equivalents shall have the meaning set forth in Section 11(a)(iii) hereof.
Class A Common Stock Equivalents means shares of Class A Common Stock issuable upon (i) the exercise of outstanding options, warrants or rights to subscribe for the Class A Common Stock or (ii) the conversion of outstanding shares of preferred stock, debt or other convertible instruments, in either case, whether or not then currently exercisable or convertible.

  • The provisions of this Section 3(b) will not apply to any grant, issuance or sale of Class A Common Stock Equivalents or other rights to purchase stock, warrants, securities or other property of the Company which is not made pro rata to the record holders of any class of shares of Class A Common Stock.

Class A Common Stock Equivalents means any combination of: (i) Holdings II Units that are or become vested pursuant to Section 2 of this Agreement (even if they are Transfer-Restricted Units) but not exchanged and shares of Class A Common Stock delivered upon Exchange of such Holdings II Units and not designated for sale and (ii) Holdings II Units subject to a minimum retained ownership requirement granted to the Grantee under the Operating Agreements and the Plan that are or become vested pursuant to a provision similar to Section 2 to this Agreement (even if a provision similar to the transfer restrictions on the Transfer-Restricted Units has not yet been satisfied) but not exchanged and shares of Class A Common Stock delivered upon Exchange of such Holdings II Units and not designated for sale.
