CENDANT ASSIGNMENT AGREEMENT means the Assignment, Assumption and Recognition Agreement, dated August 30, 2002, by and among the Seller, Cendant, Bishop's Gate and txx Xxxxx acknowledging the assignment of the Cendant Servicing Agreement and the Cendant Loans to the Trust.
