Cedar Mountain has the corporate power to enter into this Agreement and to perform its obligations hereunder; the execution, delivery and performance of this Agreement by Cedar Mountain have been duly and validly authorized and approved by the Board of Directors of Cedar Mountain; and Cedar Mountain has taken, or will use its best efforts to take prior to the Effective Date, all action required by law, its Articles of Incorporation or bylaws to authorize the execution, delivery and performance of this Agreement and the Plan.
