Call Trigger Date definition

Call Trigger Date means any date on which (i) the aggregate outstanding balance (including, without limitation, principal, interest, costs and expenses) of all Member Loans and (ii) the aggregate amount of any unreimbursed Losses, whether under this Agreement or the Companion Agreements, shall exceed $10,000,000.00 in the aggregate.
Call Trigger Date shall have the meaning set forth in Section 5(a) hereof.
Call Trigger Date shall be the 2008 Audit Date; provided, however, that, the Stockholder Representatives shall be permitted, by unanimous approval of the Stockholder Representatives, to change the Call Trigger Date to the 2009 Audit Date by providing the Put/Call Extension Notice to Primedia within 20 calendar days of their receipt of the Call Price Notice.

Call Trigger Date means the earlier of (I) the earlier of (A) the date the Company files its Form 10-Q for the three months ended June 30, 2000, if such Form 10-Q does not disclose that on or before August 1, 2000 the Company obtained a new credit facility with a bank providing immediately available funds of at least $5,000,000 on commercially reasonable terms (the "Credit Facility"), (B) August 14, 2000, if the Company fails to file its Form 10-Q for the three months ended June 30, 2000 on or before August 14, 2000, unless the Company has Publicly Disclosed (as defined below) prior to August 14, 2000 that on or before August 1, 2000 the Company obtained the Credit Facility, (II) any date subsequent to (y) the date the Company files its Form 10-Q for the three months ended June 30, 2000 or (z) August 14, 2000, if the Company fails to file such Form 10-Q on or before August 14, 2000, in which the

  • Sequential Trigger Event With respect to any Distribution Date, a Sequential Trigger Event is in effect if (a) with respect to any Distribution Date occurring before July 2009, the circumstances in which the aggregate amount of Realized Losses incurred since the Cut-off Date through the last day of the related Prepayment Period divided by the aggregate Stated Principal Balance of the Mortgage Loans as of the Cut-off Date exceeds 0.20% and (b) with respect to any Distribution Date occurring in or after July 2009, a Trigger Event is in effect.

  • Moody’s First Trigger Ratings Threshold means, with respect to Party A, the guarantor under an Eligible Guarantee or an Eligible Replacement, (i) if such entity has a short-term unsecured and unsubordinated debt rating from Moody’s, a long-term unsecured and unsubordinated debt rating or counterparty rating from Moody’s of “A2” and a short-term unsecured and unsubordinated debt rating from Moody’s of “Prime-1”, or (ii) if such entity does not have a short-term unsecured and unsubordinated debt rating or counterparty rating from Moody’s, a long-term unsecured and unsubordinated debt rating or counterparty rating from Moody’s of “A1”.

  • ii) Event means any event described in Section 11(a)(ii) hereof.

  • Tax Event Redemption Date means the date upon which a Tax Event Redemption is to occur.

  • Subsequent Triggering Event means either of the following events or transactions occurring after the date hereof:

  • Voting Rights Triggering Event means the failure of the Company to pay dividends on the Preferred Stock with respect to six or more quarterly periods (whether or not consecutive).

  • Standard Settlement Period means the standard settlement period, expressed in a number of Trading Days, on the Company’s primary Trading Market with respect to the Common Stock as in effect on the date of delivery of the Notice of Exercise.

  • Initial Redemption Date means, with respect to any Note or portion thereof to be redeemed pursuant to Section 3.1(b), the date on or after which such Note or portion thereof may be redeemed as determined by or pursuant to the Indenture or a Note Certificate of Supplemental Indenture.
