Upon the terms and subject to the conditions of this Agreement, Seller agrees to sell to Buyer, and Buyer agrees to purchase from Seller, the Company Shares at the Closing, in exchange for the issuance by Buyer of Three Hundred and Twenty Three (323) Buyer Class B Shares to Seller.
Class B Shares means the Class B ordinary Shares in the capital of the Company of $0.0001 nominal or par value designated as Class B Shares, and having the rights provided for in these Articles.
Class C Shares means the shares of Class C common stock of the Company.
Class B Stock means Class B Stock, par value $1.00 per share, of the Company.
Class B Ordinary Shares shall have the meaning ascribed to it in Section 2.4(a).
Parent Class B Common Stock means the Class B Common Stock, par value $0.01 per share, of Parent.
Class B Warrants means the Common Stock purchase warrants delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which Warrants shall be exercisable immediately and have a term of exercise equal to 5 years, in the form of Exhibit C attached hereto.
Class B Common Shares means shares of the Class B Common Stock, par value $.01 per share, of the Company.
B Shares means a participating share of no par value in the capital of the Fund, denominated in Euro(s);
Series B Shares means the shares of Fixed Rate Cumulative Perpetual Preferred Stock, Series B, of the Company.
A Shares means shares issued by companies incorporated in the PRC and listed on the SSE or the SZSE, traded in RMB and available for investment by domestic investors through Stock Connect.
Buyer Shares means the common stock, with a par value of $0.0001 per share, of Buyer.
Class A Preferred Shares shall have the meaning ascribed to it in Section 2.4(a).
Company Shares means the common shares in the capital of the Company;
Parent Class A Common Stock means the Class A Common Stock, par value $0.01 per share, of Parent.
Company Class B Common Stock means the Class B common stock, par value $0.01 per share, of the Company.
Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.
Class A Shares means Class A ordinary shares, par value US$0.0001 per share, in the share capital of the Company.
Stock Election Shares shall have the meaning set forth in Section 3.2.1.
Exchanged Shares has the meaning ascribed thereto in Section 2.1.
Class B Units has the meaning set forth in Section 3.04(a)(ii).
Class A Ordinary Shares shall have the meaning ascribed to it in Section 2.4(a).
Class B LP Units means, collectively, the Class B limited partnership units of the Partnership, and “Class B LP Unit” means any one of them.
Series F Preferred Shares means the Series F Preferred Shares of the Company, par value US$0.0001 per share, with the rights and privileges as set forth in the Memorandum and Articles.
Class A Units means the Units of partnership interest in the Partnership designated as the “Class A Units” herein and having the rights pertaining thereto as are set forth in this Agreement.
Class A Common Shares means shares of the Class A Common Stock, par value $.01 per share, of the Company.
Rollover Shares has the meaning given in the recitals.
