Buyer 401(k) Plan definition

Buyer 401(k) Plan has the meaning set forth in Section 6.01(h).
Buyer 401(k) Plan has the meaning specified in Section 8.2(h).

  • Each U.S. Transferred Employee who is not a participant in the Seller 401(k) Plan immediately prior to the Closing shall be permitted to enroll in the Buyer 401(k) Plan after the Closing Date in accordance with the terms of the Buyer 401(k) Plan.

  • Each U.S. Transferred Employee who is a participant immediately prior to the Closing in a defined contribution retirement plan of the Seller that is tax-qualified under Section 401(a) of the Code (each, a “Seller 401(k) Plan”) shall be enrolled in the Buyer 401(k) Plan as soon as practicable following the Closing Date.

  • To the extent that any such rollover includes a promissory note, the Buyer agrees to expedite the acceptance of such rollovers by the Buyer 401(k) Plan in order to avoid loan defaults.

  • Each Transferred Employee shall be immediately eligible to participate in the Buyer 401(k) Plan as of the Closing Date.

  • Buyer shall cause the Buyer 401(k) Plan to accept such transfer of accounts and underlying assets and, effective as of the date of such transfer, to assume and to fully perform, pay or discharge, the obligations relating to the accounts of 401(k) Employees in accordance with any applicable legal requirements (including Section 414(l) of the Code) (collectively, the “Transferred 401(k) Liabilities”).
