BT Parties definition

BT Parties means employees, agents and subcontractors of BT or its Affiliates.

  • The Transferor Interest (as defined in the Indenture) shall not represent any interest in the Collection Account or any Series Accounts, except as specifically provided in this Article IV and the related Indenture Supplement.

  • Any dispute, controversy or claim between the TI Parties, on the one side, and the BT Parties, on the other, arising out of or relating to this Agreement and to the Protocol (including the breach, termination or invalidity hereof or thereof) shall be finally settled by binding arbitration in accordance with the Rules of Arbitration (the “Rules”) of the International Chamber of Commerce – ICC (the “Chamber”), in accordance with the provisions of this Section.

  • Any dispute, controversy or claim between the TI Parties, on the one side, and the BT Parties, on the other, arising out of or relating to this Agreement and to the Protocol (including the breach, termination or invalidity hereof or thereof) shall be finally settled by binding arbitration in accordance with the Rules of Arbitration (the "Rules") of the International Chamber of Commerce – ICC (the "Chamber"), in accordance with the provisions of this Section.

  • No agent, broker, person or firm acting on behalf of any TI Party or any of its Affiliates or related parties is, or will be, entitled to any commission or broker's or finder's fees from 13 any of the BT Parties or any of the BT Parties' respective Affiliates, in connection with any of the transactions contemplated by this Agreement.

  • At the Closing, the AT&T Parties and the BT Parties shall cause DirectorCo, in its capacity as the sole director of Thistle BV, to prepare a description of the AT&T Assets and the BT Assets complying with the requirements of Book 2, article 204a, of the Dutch Civil Code (the "Management Board Valuation"), setting forth (i) a description of the AT&T Assets and the BT Assets, (ii) the total valuation assigned to the AT&T Assets and the BT Assets and (iii) the method(s) used in arriving at such valuation.

  • Each of the AT&T Parties and the BT Parties hereby waives the applicability of any preemptive right (voorkeursrecht) to which such party may be entitled with respect to any issuance of shares of Thistle BV required to be made pursuant to this Agreement.

Related to BT Parties

  • Concert Parties means such persons as are deemed to be Acting in Concert with Mediahuis or INM (as the context so requires) pursuant to Rule 3.3 of Part A of the Takeover Rules, and such persons as are Acting in Concert with that party;

  • Parent Parties has the meaning set forth in ARTICLE V.

  • Transaction Parties As defined in Section 5.3(o).

  • Note Parties means, collectively, the Company and each Guarantor.

  • Company Parties means the collective reference to Holdings and its Restricted Subsidiaries, including the Borrower, and “Company Party” means any one of them.

  • Bank Parties means Administrative Agent and the Banks.
