BRPI Bonds definition

BRPI Bonds means all outstanding bonds issued by BRPI pursuant to the Bond Indenture namely the Series 3 Bonds, the Series 4 Bonds, the Series 6 Bonds and the Series 7 Bonds.
BRPI Bonds means all outstanding bonds issued by BRPI pursuant to the Bond Indenture, namely the Series 3 Bonds, the Series 4 Bonds, the Series 6 Bonds and the Series 7 Bonds;
BRPI Bonds means all outstanding bonds issued by BRPI pursuant to the trust indenture dated as of December 16, 2004 between BRPI, The Bank of New York Mellon and BNY Trust Company of Canada, as supplemented, amended and restated from time to time;

Examples of BRPI Bonds in a sentence

  • Subject to Bondholder approval, Finco will be substituted for BRPI as the issuer of the BRPI Bonds and BRPI will be released from the obligations relating to the BRPI Bonds, and BREP, BRELP, CanHoldco and Bermuda Holdco will provide guarantees of the BRPI Bonds.

  • The following diagram illustrates the simplified organizational structure of BREP immediately following the completion of the Arrangement, assuming that Preferred Shareholders approve the Arrangement, and Bondholders approve the assumption of the BRPI Bonds by Finco and the release of BRPI.

  • On 24 January 2006, the Parliamentary Assembly adopted Resolution 1477 (2006) on the implementation of Resolution 1415 (2005) on the honouring of obligations and commitments by Georgia.

  • Absent such Bondholder approval, if the Arrangement is completed, Finco will contractually assume the obligations of BRPI (and BREP, BRELP, CanHoldco and Bermuda Holdco will each guarantee Finco’s obligations to BRPI) under the BRPI Bonds and the trust indenture pursuant to which BRPI issued the BRPI Bonds, but BRPI will remain the issuer of the BRPI Bonds.

  • No suspension of trading in or cease trading order with respect to the BRPI Bonds or any BRPI security is pending or, to the knowledge of BRPI, threatened.

  • Original Bonds has the meaning set forth in the recitals hereto.

  • Term Bonds means Bonds that mature on one date and that are subject to mandatory redemption from Amortization Installments or are subject to extraordinary mandatory or mandatory redemption upon receipt of unscheduled Pledged Revenues.

  • Serial Bonds means Bonds (other than Term Bonds) that mature in annual or semi-annual installments.

  • Initial Bonds means the Bonds issued on the First Issue Date.

  • Refunded Bonds means the portion of the $15,757,000 of the Series A Bonds now outstanding that are stated to mature on December 1 in each of the years 2021 through 2024 that is to be refunded by the Bonds, as determined by the Fiscal Officer and specified in the Certificate of Award at the time of the sale of the Bonds in accordance with Section 2, and may include all of those Original Bonds.

  • Bank Bonds means any Bonds purchased with moneys received under the Letter of Credit in connection with a Liquidity Drawing and held by the Tender Agent, or its agent, in each case, for the account of the Issuing Bank.

  • Refunding Bonds means Bonds issued pursuant to provisions of this Master Indenture, the proceeds of which are used to refund one or more Series of Outstanding Bonds.

  • Escrowed Bonds means Municipal Obligations that (i) have been determined to be legally defeased in accordance with S&P’s legal defeasance criteria, (ii) have been determined to be economically defeased in accordance with S&P’s economic defeasance criteria and assigned a rating of AAA by S&P, (iii) are not rated by S&P but have been determined to be legally defeased by S&P or (iv) have been determined to be economically defeased by S&P and assigned a rating no lower than the rating that is S&P equivalent of S&P’s AAA rating. In the event that a defeased obligation which is an S&P Eligible Asset does not meet the criteria of an Escrowed Bond, such Municipal Obligation will be deemed to remain in the Issue Type Category into which it fell prior to such defeasance.

  • Bonds means any bonds (including refunding bonds), notes, interim certificates, certificates of indebtedness, debentures or other obligations.

  • Previously Issued Bonds means all Bonds that have been issued by CFD No. 06-1 prior to the date of prepayment.

  • Transition bonds means bonds, notes, certificates of

  • Option Bonds means Current Interest Bonds, which may be either Serial or Term Bonds, which by their terms may be tendered by and at the option of the Owner for purchase prior to the stated maturity thereof.

  • Series 2015 Bonds means, collectively, the Series 2015B Bonds, Series 2015C Bonds and Series 2015D Bonds.

  • Subsequent Bonds means any Bonds issued after the First Issue Date on one or more occasions.

  • Stocks and bonds means stocks, bonds, mutual funds, and all other types of securities and financial instruments, whether held directly, indirectly, or in any other manner. The term does not include commodity futures contracts and call or put options on stocks or stock indexes.

  • Debt bondage means the status or condition of a debtor arising from a pledge by the debtor of his or her personal services or of those of a person under his or her control as a security for debt, if the value of those services as reasonably assessed is not applied

  • 2028 Notes means those 6.500% Senior Notes due 2028 issued by the Borrower in an aggregate principal amount of $400,000,000 pursuant to the 2028 Notes Documents.
