Borrowing Base Cure Period definition

Borrowing Base Cure Period means the period of time commencing from the date of the occurrence of a Borrowing Base Deficiency (calculated without consideration of clause (b) of the defined termMinimum Credit Enhancement”) and ending on the earlier to occur of (i) 60 days following such date, and (ii) the occurrence of an Event of Default.
Borrowing Base Cure Period shall be a period (a) commencing on a Distribution Date if, on such Distribution Date (after giving effect to the distributions to be made on such date), the aggregate principal amount of all Advances outstanding exceeds the Borrowing Base computed using the Advance Rate for the Accrual Period commencing on such Distribution Date (the “Current Advance Rate”) and would not have exceeded the Borrowing Base computed using the Advance Rate for the immediately preceding Accrual Period (the “Prior Advance Rate”), and (b) ending on the first to occur of (i) the date on which the aggregate principal amount of all Advances outstanding no longer exceed the Borrowing Base computed using the Current Advance Rate, (ii) the day on which the Effective Advance Rate is greater than the Effective Advance Rate for any prior day during the current Accrual Period, (iii) the date of the occurrence of any Facility Termination Event, and (iv) the last day of the current Accrual Period; provided that if two Borrowing Base Cure Periods shall have occurred, no additional periods shall constitute Borrowing Base Cure Periods.

  • Borrowing Base Test means as of any date, a determination that (a) the lesser of (i) the Borrowing Base and (ii) the Facility Amount shall be equal to or greater than (b) the Advances Outstanding.

  • Borrowing Base Value means, with respect to any Oil and Gas Property of a Credit Party or any Swap Agreement in respect of commodities, the value the Administrative Agent attributed to such asset in connection with the most recent determination of the Borrowing Base as confirmed by Required Lenders.

  • Borrowing Availability means as of any date of determination the Maximum Amount less the sum of (i) the Revolving Loan and Swing Line Loan then outstanding and (ii) the Reserves as then in effect.

  • U.S. Borrowing Base means, as of any date of determination, the result of:

  • Aggregate Borrowing Base means as of any date of determination, an amount equal to (i) the sum of the SMP Borrowing Base and the SI Borrowing Base; less (ii) any Reserves except to the extent already deducted therefrom.

  • Borrowing Base Deficit means, at any time of determination, the amount, if any, by which (a) the Aggregate Capital at such time, exceeds (b) the Borrowing Base at such time.

For purposes of this Agreement, the occurrence of an Accelerated Borrowing Base Delivery Event shall be deemed continuing (i) so long as such Event of Default has not been waived, and/or (ii) if the Accelerated Borrowing Base Delivery Event arises as a result of the Borrowers’ failure to achieve Availability as required hereunder, until Availability has exceeded the greater of (x) fifteen percent (15%) of the Loan Cap, or (y) $9,750,000.00 for thirty (30) consecutive calendar days, in which case an Accelerated Borrowing Base Delivery Event shall no longer be deemed to be continuing for purposes of this Agreement. The termination of an Accelerated Borrowing Base Delivery Event as provided herein shall in no way limit, waive or delay the occurrence of a subsequent Accelerated Borrowing Base Delivery Event in the event that the conditions set forth in this definition again arise.

  • Borrowing Base Certificate means a certificate, signed and certified as accurate and complete by a Financial Officer of the Borrower Representative, in substantially the form of Exhibit H or another form which is acceptable to the Administrative Agent in its sole discretion.

  • Canadian Borrowing Base means, at any time, an amount in Dollars equal to:

  • Revolving Credit Availability Period means the period from and including the Effective Date to but excluding the earlier of the Revolving Credit Commitment Termination Date and the date of termination of the Revolving Credit Commitments.

  • Borrowing Base Properties means the Oil and Gas Properties of the Loan Parties included in the Initial Reserve Report and thereafter in the most recently delivered Reserve Report delivered pursuant to Section 8.12.
