Black Scholes Pricing Model means the value determined using the Black Scholes pricing model and employing an interest rate equal to 30 day LIBOR on the day prior to valuation and a volatility equal to the volatility of the Common Stock for the 30 Trading Days prior to the date of valuation as reasonably determined by the Board of Directors; provided that if the Majority Holders disagree with such volatility, the Company and Largest Holder shall jointly select an appraiser who is experienced in such matters and the decision of such appraiser shall be final and conclusive, and the cost of such appraiser shall be borne by the Company. "Majority Holders" means holders of outstanding Warrants representing the right to purchase a majority of the Common Stock issuable upon exercise of all outstanding Warrants. "Largest Holder" means that holder, who is a member of the objecting Majority Holders, and holds Warrants that entitle it to acquire more shares than any other holder who is in the objecting Majority Holders.
Black Scholes Pricing Model means the value determined using the Black Scholes pricing model assuming that the Warrant had been assumed by the acquiring company and determining volatility on an implied basis using pricing information for trading of options in the stock of the acquiring company as of the date of determination or, if no such pricing information is available, determining volatility on an historical basis for the 12-month period prior to the date of determination.
Black Scholes Pricing Model means the value determined using the Black Scholes pricing model and employing an interest rate equal to 30 day LIBOR on the day prior to valuation and a volatility equal to the volatility of the Common Stock for the 30 trading days prior to the date of valuation as reasonably determined by the Board of Directors; provided that if the holder disagrees with such volatility, then the Company and the holder shall request an investment bank acceptable to the Company and the Substantial Investors to act as an appraiser with respect to determining such volatility, which decision shall be final and conclusive.

  • Black-Scholes Warrant Value means the value of a Warrant immediately prior to the consummation of the applicable event based on the Black-Scholes Warrant Model for a Capped American Call on Bloomberg Financial Markets (“Bloomberg”). For purposes of calculating such amount, (1) Section 6 of this Agreement shall be taken into account, (2) the price of each share of Common Stock shall be the volume weighted average price of the Common Stock as reported during the ten (10) trading day period ending on the trading day prior to the effective date of the applicable event, (3) the assumed volatility shall be the 90 day volatility obtained from the HVT function on Bloomberg determined as of the trading day immediately prior to the day of the announcement of the applicable event, and (4) the assumed risk-free interest rate shall correspond to the U.S. Treasury rate for a period equal to the remaining term of the Warrant. “Per Share Consideration” means (i) if the consideration paid to holders of the Common Stock consists exclusively of cash, the amount of such cash per share of Common Stock, and (ii) in all other cases, the volume weighted average price of the Common Stock as reported during the ten (10) trading day period ending on the trading day prior to the effective date of the applicable event. If any reclassification or reorganization also results in a change in shares of Common Stock covered by subsection 4.1.1, then such adjustment shall be made pursuant to subsection 4.1.1 or Sections 4.2, 4.3 and this Section 4.4. The provisions of this Section 4.4 shall similarly apply to successive reclassifications, reorganizations, mergers or consolidations, sales or other transfers. In no event will the Warrant Price be reduced to less than the par value per share issuable upon exercise of the Warrant.

  • Open Market Value means the value which a property might reasonably be expected to realise if sold in the open market by a prudent vendor;
