Balfour Xxxxxx Affiliate means Balfour Xxxxxx plc or any person which is from time to time controlled by Balfour Xxxxxx plc and for this purpose a person is controlled or operated by Balfour Xxxxxx plc if Balfour Xxxxxx plc, either directly or through one or more intermediaries, beneficially owns shares (or their equivalent) carrying the majority of votes at a general meeting of shareholders (or its equivalent) of the person;

  • For the avoidance of doubt any Intellectual Property Rights belonging to a Balfour Xxxxxx Affiliate shall remain vested in that Balfour Xxxxxx Affiliate and Xxxxxxx Xxxxxx shall be entitled to enforce any rights under this clause 10 on behalf of and for the benefit of the Balfour Xxxxxx Group.

  • Historically black college or university means an institution determined by the Secretary of Education to meet the requirements of 34 CFR 608.2.
