Automotive Common Stock the Class A Common Stock, $.01 par value, of Automotive.

  • Such shares of Automotive Common Stock shall be the only capital stock of Automotive outstanding immediately prior to the Distribution.

  • Subject to Section 2.03 hereof, on the Distribution Date, BWC will cause Automotive to issue to the holders of record of BWC Voting Stock and BWC Non-Voting Stock on the Record Date, stock certificates representing in the aggregate all of the then outstanding shares of Automotive Common Stock, and shall distribute such certificates as soon as practicable thereafter to such holders or their designated transferees.

  • All shares of TRW Automotive Common Stock issued in the Distribution shall be duly authorized, validly issued, fully paid and nonassessable.

  • To the extent that any distribution under Section 6.1 is to be made out of the Penske Automotive Common Stock Fund, such portion of such distribution shall be paid either (a) entirely in cash or (b) entirely in whole shares of Common Stock of Penske Automotive Group, Inc.

Related to Automotive Common Stock

  • Holdings Common Stock means the common stock, par value $0.01 per share, of Holdings.

  • Restricted Common Stock means shares of Common Stock which are, or which upon their issuance upon the exercise of any Warrant would be required to be, evidenced by a certificate bearing the restrictive legend set forth in Section 3.2.

  • Fully-Diluted Common Stock means the aggregate of all outstanding Common Stock as of the date hereof, plus all shares of Common Stock issuable upon the exercise or conversion of securities exercisable for, or convertible into, shares of Common Stock of the Company which securities are outstanding or issuable as of the date hereof.

  • Underlying Common Stock means the Common Stock into which the Notes are convertible or issued upon any such conversion.

  • Substitute Common Stock means the common stock issued by the issuer of the Substitute Option upon exercise of the Substitute Option.
