The net proceeds of the Equity Financing if funded (and applied) in accordance with the Equity Undertaking Letter are, in the aggregate, sufficient for Sub and the Surviving Corporation to pay (i) the Aggregate Offer Price, (ii) the Aggregate Common Stock Consideration, (iii) all amounts required to be paid pursuant to Section 3.04, and (iv) the aggregate amount payable to the Xxxxxxxxxx Funds in connection with the Term Loan Transfer under the Exchange Agreement.
