Advisory Fee Shares definition

Advisory Fee Shares shall have the meaning given to it in Section 2.2(f) hereof.
Advisory Fee Shares means the shares issuable to CF&CO in lieu of the cash advisory fee otherwise payable to CF&CO pursuant to the CF Engagement Letter.
Advisory Fee Shares means the shares of the Company’s Common Stock to be issued by the Company to Buyer in accordance with Section 7.4(e) below.

  • The Advisory Fee Shares are duly authorized and, upon issuance in accordance with the terms hereof, shall be duly issued, fully paid and non-assessable, and free from all Liens, claims, charges, taxes, or other encumbrances with respect to the issue thereof, and will be issued in compliance with all applicable United States federal and state securities laws and the laws of any foreign jurisdiction applicable to the issuance thereof.

  • It should include employment positions and it should also consider activities and responsibilities which have not been employment-related such as private study, volunteer work, hobbies, special interests, honors, awards, special recognition and membership in organizations.

  • Upon Lender’s receipt of such cash payment in accordance with the immediately preceding sentence, the Lender shall return any then remaining Advisory Fee Shares in its possession back to the Borrower and otherwise undertake any required actions reasonably requested by Borrower to have such then remaining Advisory Fee Shares returned to Borrower.

  • In the event that the Borrower files a registration statement with respect to its Common Stock with the SEC (other than a registration statement on Form S-4 or S-8 or any successor form thereto) after the Effective Date but before the Lender sells the Advisory Fee Shares, the Advisory Fee Shares shall be registered pursuant to such registration statement.

  • In the event the Lender receives net proceeds from the sale of Advisory Fee Shares equal to the Advisory Fee, and the Lender still has Advisory Fee Shares remaining to be sold, the Lender shall return all such remaining Advisory Fee Shares to the Borrower.

  • In the event such certificates representing the Advisory Fee Shares issuable hereunder shall not be delivered to the Lender within said five (5) Business Day period, same shall be an immediate default under this Agreement and the other Loan Documents.

  • At any time the Lender may elect, the Lender may deliver to the Borrower a reconciliation statement showing the net proceeds actually received by the Lender from the sale of the Advisory Fee Shares (the “Sale Reconciliation”).

  • Notwithstanding anything contained in this Section to the contrary, the Borrower shall have the right to redeem any Advisory Fee Shares then in the Lender’s possession for an amount payable by the Borrower to Lender in cash equal to the Advisory Fee, less any net cash proceeds received by the Lender from any previous sales of Advisory Fee Shares.

  • The plan is drawn up by a partnership of organisations that have an interest in the area.

  • The Lender shall have the right (but not an obligation) to sell the Advisory Fee Shares in the Principal Trading Market or otherwise, at any time in accordance with applicable securities laws.

Related to Advisory Fee Shares

  • Structuring Fee has the meaning set forth in the Fee Letter.

  • Consideration Shares shall have the meaning set forth in Section 2.7(c).

  • Subscription Fee means the Fees payable by IPTV Operator to ZEEL for availing the signals of Zee Group Channels on a monthly basis and calculated as “ZEEL’s Share of MRP” multiplied by average active subscribers for any given month.

  • Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.

  • Advisory Agreement means the agreement between the Company and the Advisor pursuant to which the Advisor will direct or perform the day-to-day business affairs of the Company.

  • Subscription Fees the Fees payable for access to the Cloud Service as set out in an Order.

  • Incentive Fee shall have the meaning set forth in the Prospectus.

  • Management Fee has the meaning given in Section 4.1.
