Adviser Expenses definition

Adviser Expenses shall have the meaning set forth in Section 11(b).
Adviser Expenses means the costs and expenses of the Adviser’s normal operating overhead, including salaries of the Adviser’s employees and Senior Advisors (excluding salary, benefits, directors’ fees, stock options and other compensation received by Senior Advisors for serving in Portfolio Company Roles) and other expenses incurred in maintaining the Adviser’s place of business, but not including other Organizational and Offering Expenses or Fund Expenses; provided that, for the avoidance of doubt, Adviser Expenses shall not include any fees paid to New Mountain or its Affiliates for administrative services pursuant to the final sentence of the first paragraph of Section 1.7; provided further that, the Adviser will undertake to reduce and/or waive its management fee, or otherwise reimburse expenses to the Fund, in the amount of Excess Organizational and Offering Expenses and Excess Specified Expenses pursuant to the last paragraph of Section 1.7.
Adviser Expenses shall have the meaning set forth in Section 11(b). “Adviser Management Fee Securities” shall mean Adviser Management Fee Shares and Adviser Management Fee Units. “Adviser Management Fee Shares” shall mean Class I Common Shares, Class C Common Shares, Class F Common Shares and/or any other class of common stock of the Company, whether currently designated in the Charter or designated after the Effective Date, that is not registered under the Exchange Act at such time. “Adviser Management Fee Units” shall mean Class I units of the Operating Partnership, Class B units of the Operating Partnership, Class C units of the Operating Partnership, Class F units of the Operating Partnership and/or any other class of limited partnership interest of the Operating Partnership, whether currently set forth in the Operating Partnership Agreement or set forth after the Effective Date, that is not registered under the Exchange Act at such time or, under the terms of the Operating Partnership Agreement or other contractual right, convertible into or exchangeable for a corresponding class of common stock of the Company that is registered under the Exchange Act at such time. “Affiliate” shall have the meaning set forth in the Charter. “Average Invested Assets” shall have the meaning set forth in the Charter. “Blackstone” means, collectively, Blackstone Inc., a Delaware corporation, and any Affiliate thereof. “Board” shall mean the board of directors of the Company, as of any particular time. “Business Day” shall have the meaning set forth in the Charter.

  • All Adviser Expenses shall be paid by the Adviser or its Affiliates.

These fee waivers and/or expense reimbursements are voluntary and may be amended or terminated at any time by the Adviser on notice to the Trust.

  • Program Expenses means all UHC’s expenses of administering the Program under the Indenture and the Act and shall include without limiting the generality of the foregoing; salaries, supplies, utilities, labor, materials, office rent, maintenance, furnishings, equipment, machinery and apparatus, including information processing equipment; software, insurance premiums, credit enhancement fees, legal, accounting, management, consulting and banking services and expenses; Fiduciary Expenses; remarketing fees; Costs of Issuance not paid from proceeds of Bonds; and payments to pension, retirement, health and hospitalization funds; and any other expenses required or permitted to be paid by UHC.

  • Professional Fees means amounts billed or to be billed to a client for legal services provided or to be provided to the client by the lawyer or the lawyer’s firm;

  • Class Expenses means expenses incurred by a particular Class in connection with a shareholder services arrangement or a distribution plan that is specific to such Class or any other differing share of expenses or differing fees, in each case pursuant to a plan adopted by the Trust pursuant to Rule 18f-3 under the 1940 Act, as such plan or Rule may be amended from time to time;

  • Travel Expenses means any costs incurred by Licensor associated with the transportation, storage or lodging of equipment, supplies, Licensor employees and other items necessary for business use from Licensor headquarters to Licensee’s facilities. Travel expenses may include, but are not limited to airfare, hotel costs, and meals if applicable. Any travel expenses paid by the Licensee shall be paid at allowable government travel rates consistent with Management Directive 230.10, unless otherwise first approved by the Licensee’s authorized representative.

  • Administration Expenses Payment means the amount the Administrator will be paid from the Gross Settlement Amount to reimburse its reasonable fees and expenses in accordance with the Administrator’s “not to exceed” bid submitted to the Court in connection with Preliminary Approval of the Settlement.
