Additional Placement definition

Additional Placement means the additional placement by the Company to one or more Additional Purchasers, on terms and conditions approved by the General Atlantic Shareholders, of up to an aggregate of 70,745,283 Series B Preferred Shares, to be purchased on a date not later than thirty (30) days after the Closing Date (or such later date as may be mutually acceptable to the Company and the GAP Purchasers) pursuant to a share subscription agreement substantially in the form of the Subscription Agreement, at a price per share equal to the price per share paid by GAP LP, GAP-W, GAP Coinvestment IV, GapStar and GmbH Coinvestment for the Series A Preferred Shares under the Subscription Agreement.
Additional Placement means the additional placement by the Company to one or more Additional Purchasers, on terms and conditions approved by the Purchasers, of up to an aggregate of 70,745,283 Series B Preferred Shares, to be purchased on a date not later than thirty (30) days after the Closing Date (or such later date as may be mutually acceptable to the Company and the Purchasers) pursuant to a share subscription agreement substantially in the form of this Agreement, at a price per share equal to the price per share paid by the Purchasers for the Series A Preferred Shares hereunder.
Additional Placement means the additional placement by the Company to one or more Additional Series A Investors of up to an aggregate of 429,982 Series A Preferred Shares on a date not later than forty-five (45) days after the date hereof at a price per share equal to the price per share paid by GAP LP, GAP-W, GAP Coinvestment III, GAP Coinvesment IV, GapStar, GmbH Coinvestment and Other Series A Investors under the Share Subscription Agreement.

Examples of Additional Placement in a sentence

  • There will be no placement agent in the Additional Private Placement and no party shall be entitled to a placement fee or expense allowance from the sale of the Additional Placement Securities.

  • Pursuant to the Subscription Agreement, all of the proceeds from the sale of the Placement Warrants and Additional Placement Warrants will be deposited by the Company in the Trust Account in accordance with the terms of the Trust Agreement prior to the Closing.

  • Pursuant to the Subscription Agreement, all of the proceeds from the sale of the Placement Units and Additional Placement Units will be deposited by the Company in the Trust Account in accordance with the terms of the Trust Agreement prior to the Closing.

  • No allottee under the Additional Placement Capacity will be a related party or associate of a related party.

  • As at the date of this Notice, the Company has not identified any proposed allottees of Equity Securities using the Additional Placement Facility.

  • At the date of this Notice, the Company has not approached any particular existing Shareholder or security holder or an identifiable class of existing security holder to participate in a proposed issue of Equity Securities under the proposed Additional Placement Capacity.

  • The Company’s allocation policy for the issue of Equity Securities under the Additional Placement Facility will depend on the prevailing market conditions at the time of the proposed issue.

  • Permitted Debt Exchange Offer shall have the meaning provided in Section 2.15(a).

  • Additional Bonds means the debt instruments issued under a Tap Issue, including any Temporary Bonds.
