Each of GAP LP and GAP Coinvestment (a) is ------------------- a partnership duly organized, validly existing and in good standing under the laws of the jurisdiction of its formation, (b) has all requisite power and authority to conduct the business in which it is currently, or is proposed to be, engaged, and (c) has the requisite partnership power and authority to execute, deliver and perform its obligations under this Agreement and each of the other Transaction Documents to which it is a party.
GAP Coinvestment and each of the partners of GAP LP is an "Accredited Investor" as defined in Rule 501(a) under the Securities Act.
