Additional German Borrowers definition

Additional German Borrowers shall have the meaning assigned to such term in clause (b) of the definition of German Borrowers.

Related to Additional German Borrowers

  • German Borrower means (a) any Borrower that is a resident for tax purposes in Germany and (b) any Borrower in respect of which written notice is given to the Administrative Agent (by the Company) prior to that Borrower becoming a Borrower hereunder that such Borrower is resident in Germany for German tax purposes.

  • Additional Borrower means a company which becomes an Additional Borrower in accordance with Clause 25 (Changes to the Obligors).

  • Subsidiary Borrowers means, collectively (i) each Domestic Subsidiary of the Company that is a party to this Agreement as a “Borrower” on the Effective Date and (ii) each Domestic Subsidiary of the Company that becomes a party to this Agreement as a “Borrower” following the Effective Date pursuant to Section 5.14, in each case, until such time as such Domestic Subsidiary is released from its obligations under the Loan Documents in accordance with this Agreement.

  • Tranche B Term Lender each Lender that has a Tranche B Term Commitment or that holds a Tranche B Term Loan.

  • Co-Borrowers has the meaning specified in the introductory paragraph to this Agreement.

  • Domestic Subsidiary Borrower means any Subsidiary Borrower which is a Domestic Subsidiary.

  • Incremental Lender means an Incremental Revolving Lender or an Incremental Term Lender.

  • Term Lender means, at any time, any Lender that has a Term Commitment or a Term Loan at such time.

  • Tranche B Term Loan Lender means a Lender with a Tranche B Term Loan Commitment or an outstanding Tranche B Term Loan.

  • Foreign Borrowers means the Canadian Borrower, the Dutch Borrower, and the U.K. Borrowers.

  • Initial Borrowing Date means the date occurring on or after the Effective Date on which the initial Borrowing of Loans occurs.

  • Term Loan Administrative Agent means Bank of America, in its capacity as administrative agent under the Term Loan Credit Agreement, and its successors and assigns in such capacity.

  • Incremental Lenders has the meaning set forth in Section 2.14(c).

  • Domestic Loan Parties means, collectively, the Company and the Guarantors.

  • Foreign Borrowing Base means, as of any date, an amount equal to:

  • Existing Borrower s Re-Fix Rate" means at any date the fixed rate then being offered to those of the Seller's existing Borrowers who at that date are seeking to fix the rate of interest payable under their existing Fixed Rate Mortgage Loan with the Seller for the applicable period;

  • Canadian Borrowers has the meaning specified in the preamble to this Agreement.

  • Incremental Term Loan Borrowing Date means, with respect to each Class of Incremental Term Loans, each date on which Incremental Term Loans of such Class are incurred pursuant to Section 2.01(b) and as otherwise specified in any amendment providing for Incremental Term Loans in accordance with Section 2.22.

  • U.S. Borrower means any Borrower that is a U.S. Person.

  • Canadian Loan Parties means the Canadian Borrower and the Canadian Guarantors.

  • Foreign Borrower means any Borrower that is a Foreign Subsidiary.

  • Domestic Loan Party means any Loan Party organized under the laws of any state of the United States of America or the District of Columbia.

  • Term A Lender means (a) at any time on or prior to the Closing Date, any Lender that has a Term A Commitment at such time and (b) at any time after the Closing Date, any Lender that holds Term A Loans at such time.

  • Co-Borrower shall have the meaning assigned to such term in the introductory paragraph of this Agreement.

  • New Term Lender a Lender that has a New Term Loan.

  • Term Loan Lender means a Lender with a Term Loan Commitment or an outstanding Term Loan.
