XXXXXXXXX OPTION TO PURCHASE THE XXXXXXXXX. TRUST SHARES. In the event that the Xxxxxxxxx Trust receives an Offer to Sell Shares owned by it, then such Shares shall be first offered to Xxxx X. Xxxxxxxxx. Within thirty (30) days after receipt of such Offer to sell, Xxxx X. Xxxxxxxxx may at his option elect to purchase all of the Shares proposed to be sold as set forth in the Offer to Sell. Xxxx X. Xxxxxxxxx shall exercise his option to purchase by giving written notice to the Xxxxxxxxx Trust and the Trustee. The notice shall specify a date for the closing of the purchase which shall not be more than sixty (60) days after the date of giving such notice.
