Xxxxxxx-Xxxxxxx Lease. With respect to the Xxxxxxx-Xxxxxxx Lease, commencing promptly after the date hereof, the Parties shall fully cooperate with each other to obtain a resolution of the dispute with the lessor of the Xxxxxxx-Xxxxxxx Lease that is mutually acceptable to the Parties prior to the Closing which, unless the Parties otherwise agree, will include, at a minimum, a consent by such lessor to the assignment of the Xxxxxxx-Xxxxxxx Lease to Purchaser and an estoppel certificate from such lessor that there does not exist any defaults under the Xxxxxxx-Xxxxxxx Lease and that such lease is still in full force and effect. In the event that the Parties are unable to get a resolution to the dispute with the lessor of 45 the Xxxxxxx-Xxxxxxx Lease that is reasonably acceptable to all Parties, then the Parties shall negotiate in good faith to amend this Agreement to remove the Xxxxxxx-Xxxxxxx Lease as an Asset (and make it an Excluded Asset) and make a corresponding adjustment to either the Purchase Price or the Target Base Working Capital.
