Xxxx of Sale, Assignment and Assumption Agreement. Seller and Purchaser shall execute a Xxxx of Sale, Assignment and Assumption Agreement (the "Xxxx of Sale"), in the form attached hereto as EXHIBIT "D", (a) conveying good title to the Company Assets to Purchaser free and clear of all liens, claims, encumbrances and interests, and (b) effecting the assumption by Purchaser of the Assigned Contracts.

Buyer may designate one or more of its Affiliates as the recipient of certain of the Purchased Assets, and as the party to assume certain of the Assumed Liabilities, in which case Seller shall transfer such Purchased Assets and Assumed Liabilities to Buyer or the Affiliate(s) designated by Buyer pursuant to such Transfer Documents.
