Visits and Discussions. The Company will permit the authorized representatives of each Investor, each Permitted Transferee thereof and the Qualified Buyer, at all reasonable times during normal business hours and as often as reasonably requested, to visit and inspect, at the expense of such Investor, any of the properties of the Company, including its books and records and, subject to reasonable arrangements with any transfer agents of the Company, lists of security holders, and to make extracts therefrom and to discuss the affairs, finances, and accounts of the Company with its officers.
Visits and Discussions. The Company will permit Fidelity and the authorized representatives of each Investor, each Permitted Transferee thereof and each Qualified Buyer, at all reasonable times during normal business hours and as often as reasonably requested, to visit and inspect, at the expense of such Investor, any of the properties of the Company, including its books and records and, subject to reasonable arrangements with any transfer agents of the Company, lists of security holders, and to make extracts therefrom and to discuss the affairs, finances, and accounts of the Company with its officers. For purposes of this Section 6.1.4, Itochu Corporation, Itochu Techno-Science Corporation and Itochu Technology, Inc. shall be deemed to be one Investor.

New XxXxxx Epyx will permit each Stockholder and its authorized representatives, at all reasonable times during normal business hours and as often as reasonably requested, to visit and inspect, at the expense of such Stockholder, any of the properties of New XxXxxx Epyx, including its books and records and lists of security holders, and to make extracts therefrom and to discuss the affairs, finances and accounts of New XxXxxx Epyx with its officers.

The Company and its Affiliates (except for Solid World srl.) will permit the Purchaser and the authorized representatives of the Purchaser, at all reasonable times during normal business hours following reasonable notice and as often as reasonably requested, to visit and inspect, any of the properties of the Company and its Affiliates (except for Solid World srl.), including their books and records and lists of security holders and shall be allowed to copy them, and to discuss the affairs, finances, and accounts of the Company and its Affiliates (except for Solid World srl.) and receive any information requested from their officers.

The Company and its Affiliates (except for Solid World srl.) will permit Cimatron and the authorized representatives of Cimatron, at all reasonable times during normal business hours following reasonable notice and as often as reasonably requested, to visit and inspect, any of the properties of the Company and its Affiliates (except for Solid World srl.), including their books and records and lists of security holders and shall be allowed to copy them, and to discuss the affairs, finances, and accounts of the Company and its Affiliates (except for Solid World srl.) and receive any information requested from their officers.
Visits and Discussions. The Company will (and will cause its Subsidiaries to) permit each Investor and the representatives of each such Investor (but only if any such individual is a U.S. citizen), at all reasonable times during normal business hours following reasonable notice and as often as reasonably requested, to visit and inspect, at the expense of the Company, any of the properties of the Company and its Subsidiaries, including their respective books and records and, subject to reasonable arrangements with any transfer agents of the Company or any of its Subsidiaries, lists of securityholders, and to make extracts therefrom and to discuss the affairs, finances and accounts of the Company and its Subsidiaries with their respective officers. The foregoing access shall be subject in all instances to two (2) days' prior notice, compliance with all applicable limitations imposed by Governmental Authorities, and execution and delivery to the Company of such non-disclosure and non-solicitation agreements which are reasonably requested by the Company; no such access may be afforded any non-U.S. citizens without the Company's prior written consent, which, with respect to access by any non-U.S. citizen, may be withheld in its absolute discretion.
