Visits and Discussions. The Company will permit the authorized representatives of each Investor, each Permitted Transferee thereof and the Qualified Buyer, at all reasonable times during normal business hours and as often as reasonably requested, to visit and inspect, at the expense of such Investor, any of the properties of the Company, including its books and records and, subject to reasonable arrangements with any transfer agents of the Company, lists of security holders, and to make extracts therefrom and to discuss the affairs, finances, and accounts of the Company with its officers.

The foregoing access shall be subject in all instances to two (2) days' prior notice, compliance with all applicable limitations imposed by Governmental Authorities, and execution and delivery to the Company of such non-disclosure and non-solicitation agreements which are reasonably requested by the Company; no such access may be afforded any non-U.S. citizens without the Company's prior written consent, which, with respect to access by any non-U.S. citizen, may be withheld in its absolute discretion.
