Vesting Acceleration in Connection With a Change in Control. Upon a Termination by the Company without Cause (excluding as a result of death or Disability) or a resignation for Good Reason, in each case, upon or within twelve (12) months after, or within three months before, the completion of a Change of Control (as such term is defined in the Offer Letter), then subject to Optionee’s execution and non-revocation of the Release, any portion of Optionee’s Option (or any Unvested Shares received in respect of exercising the Option) that was not vested prior to such Change of Control will vest in full on the date of such Termination. In the case of a Termination pursuant to this subsection 3.2, the Option will be exercisable for the applicable period set forth in subsection 3.1.

Vesting Acceleration in Connection With a Change in Control. If, (a) in connection with a Change in Control, the Recipient is asked to resign as a Director or (b) within twenty-four (24) months after the consummation of a Change in Control, (i) the Recipient is asked to resign from the board of directors of the Company (or its successor) or the Recipient’s Continuous Service is terminated by the Company (or its successor) without Cause or (ii) the Recipient is not nominated for re-election to the board of directors of the Company (or its successor), then this Award shall vest on an accelerated basis so that this Award is fully vested as of the date of such resignation or termination.

In addition, subject to the limitations stated in this Agreement and upon the Executive’s furnishing to the Company (or its successor) an executed Release within the applicable time period set forth therein, but in no event later than forty-five days following termination of employment and permitting such Release to become effective in accordance with its terms, and subject to Executive entering into no later than the Release Effective Date a non-competition agreement to be effective during the Severance Period, substantially similar to Section 2.3, and continuing to abide by its terms during the Severance Period, then in lieu of (and not additional to) the benefits provided pursuant to Section 4.4.3(i) above, the Executive shall be entitled to:
