Variations of Principal Agreement. Under the provisions of the Principal Agreement, the Company is currently obliged to submit detailed proposals for the Project by 30 September 2020 (after having been granted an 18 month extension from 31 March 2019 to this date). The Company has advised the State that it will not be able to meet this timeframe, including because of delay due to COVID-19. The primary variation effected by this Agreement is to extend the clause 11(1) deadline date for submission of detailed proposals to 31 March 2022, and to provide for a further capacity for this deadline date to be extended for a period of up to 18 months, at the discretion of the Minister. In doing so, this Agreement also precludes the Company from relying on force majeure to justify any future delay in meeting its obligations under clause 11 of the Principal Agreement. Subclause (1) Inserts into clause 1 (Definitions) of the Principal Agreement in alphabetical order definitions of "Variation Agreement" and "Variation Date". Subclause (2) Varies clause 11(1) of the Principal Agreement by deleting "31 March 2019" and inserting "31 March 2022" as the new 'submission of proposals deadline date' for the Project.
