Common use of Variable Compensation Clause in Contracts

Variable Compensation. In addition to the Base Salary, with respect to each fiscal year of the Parent Corporation during the Term, the Executive shall be eligible to earn a bonus (the “Variable Compensation”), with an annual target amount of US$500,000 (the “Target Bonus”), calculated and paid quarterly, and per the incentive plan as issued each fiscal year and based on the achievement of performance objectives established by the Parent Corporation, subject to the Executive’s employment with the Corporation through the applicable payment date for any such Variable Compensation. Notwithstanding anything to the contrary herein, the Variable Compensation shall be paid no later than the 15th day of the third month following the close of the fiscal year to which the Variable Compensation relates, except to the extent that the Executive has previously elected to defer the receipt of such Variable Compensation pursuant to an arrangement that meets the requirements of Section 409A of the Code.
