Common use of Usages Clause in Contracts

Usages. In this agreement and the certificates, unless otherwise stated or the context otherwise clearly requires, the following usages apply: · “This agreement,” “herein,” “hereof” and words of similar import when used in this agreement will refer to this agreement. · In computing periods from a specified date to a later specified date, the words “from” and “commencing on” (and the like) mean “from and including,” and the words “to,” “until” and “ending on” (and the like) mean “to but excluding.” · An action permitted under this agreement may be taken at any time and from time to time. Except as otherwise indicated, a permitted action may be taken in the actor’s sole discretion. References to a person’s taking action include the person’s refraining from action. Thus, a statement that a person “may take any action that … “ means that a person may take or refrain from taking any action that …. · All indications of time of day mean New York City time.
