Transfers of Employment Benefits. The parties agree that with respect to any transfers of employment, they will cooperate for the transfer of benefits under principles consistent with this Agreement to the extent possible; provided, that where vendor or legal issues exist, neither party shall be liable for the failure to replicate in such circumstances.
