Transfer of Servicing for Certain Mortgage Loans. Prior to each Servicing Transfer Date, New Century shall have complied with each of the servicing transfer requirements in accordance with Countrywide Servicing's or Wells Fargo's commercial reasonable instructions, as the case may be, pxxxxxed to New Century in writing and reasonable in advance of the Servicing Transfer Date.

Prior to the Servicing Transfer Date, the Depositor shall use reasonable efforts to cause New Century to comply with each of the servicing transfer requirements set forth in the Interim Servicing Agreement and in accordance with customary industry procedures.

(a) GMAC Mortgage Corporation shall be the Servicer of the Mortgage Loans originated by each Originator other than Countrywide Home Loans LP up to the related Servicing Transfer Date and shall service such Mortgage Loans in accordance with each of the terms of this Agreement, including, but not limited to, the obligation to pay amounts in respect of Prepayment Interest Shortfalls (as set forth in Section 3.24) and to make Advances and Servicing Advances (as set forth in Section 4.03) and in accordance with customary industry procedures and all reporting requirements applicable to the Servicer (as set forth in Sections 3.20, 3.21 and 4.06). Furthermore, GMAC Mortgage Corporation agrees to provide to the Trustee and to Lxxxxx Loan Servicing LP all reporting required to be provided by the Servicer pursuant to this Agreement for the period through the related Servicing Transfer Date, including reporting of all activity with respect to the Mortgage Loans for the period prior to such Servicing Transfer Date (which report would be delivered following such Servicing Transfer Date consistent with the requirements of this Agreement).
