Transfer of Conservation Area Sample Clauses

Transfer of Conservation Area. Grantor agrees to incorporate the terms of this Conservation Easement by reference in any deed or other legal instrument by which Grantor divests itself of any interest in all or any portion of the Conservation Area, including, without limitation, a leasehold interest. Grantor further agrees to give written notice to Grantee and the Third Party Beneficiary of the intent to transfer any interest at least thirty (30) days prior to the date of such transfer. Grantee or Third Party Beneficiary shall have the right to prevent subsequent transfers in which prospective subsequent claimants or transferees are not given notice of the covenants, terms, conditions and restrictions of this Conservation Easement. The failure of Grantor, Grantee or Third Party Beneficiary to perform any act provided in this section shall not impair the validity of this Conservation Easement or limit its enforceability in any way.

  • Compliance with Statutes The Borrower and its Subsidiaries are in compliance in all material respects with all applicable statutes, regulations and orders of, and all applicable restrictions imposed by, all governmental bodies and have all necessary permits, licenses and other necessary authorizations with respect to the conduct of their businesses and the ownership and operation of their properties except where the failure to so comply or hold such permits, licenses or other authorizations could not reasonably be expected to have a Material Adverse Effect.

  • Authorization to Modify Restrictions It is the intention of the parties that the provisions of Article IV hereof shall be enforceable to the fullest extent permissible under applicable law, but that the unenforceability (or modification to conform to such law) of any provision or provisions hereof shall not render unenforceable, or impair, the remainder thereof. If any provision or provisions hereof shall be deemed invalid or unenforceable, either in whole or in part, this Agreement shall be deemed amended to delete or modify, as necessary, the offending provision or provisions and to alter the bounds thereof in order to render it valid and enforceable.

In the event any of the Property leased hereunder is confiscated or appropriated by any such agency, then the Proprietor shall be responsible to Kachina for the value of the leased Property confiscated or appropriated, and for any loss of earnings under this Agreement.
