The Company and Mx. Xxxxx Po Yi have entered into an Administrative Services Agreement (“Services Agreement”) substantially in the form annexed as an exhibit to the Registration Statement pursuant to which Mx. Xxxxx Po Yi will make available to the Company general and administrative services including office space, utilities and secretarial support for the Company’s use for $10,000 per month payable until the earlier of the consummation by the Company of a Business Combination or the liquidation of the Trust Account, on the terms and subject to the conditions set forth in the Services Agreement.

The Company and Mx. Xxxx agree that Mx. Xxxx will retire from employment with the Company on May 3, 2023.
The Company and Mx. Xxxx agree and acknowledge that their respective rights with respect to these restricted stock awards shall be governed by the terms of the Restricted Stock Award Agreements; provided that the Company agrees that it shall not exercise any Purchase Option as defined in the Restricted Stock Award Agreements with respect to 2,500 shares of restricted stock that would otherwise vest on December 16, 2006 until after December 31, 2006 and Mx. Xxxx understands and agrees that the Company intends to exercise any and all other Purchase Options. For purposes of clarity, Mx. Xxxx’x termination of employment shall not preclude Mx. Xxxx from vesting in the 2,500 shares that would otherwise vest on December 16, 2006.
The Company and Mx. Xxxx hereby agree to the terms and conditions of the Indemnification Agreement attached hereto as Appendix A with the same force and effect as if such terms and conditions were set forth at length herein.
