Termination by the Owners. This Agreement may be terminated and the Transactions may be abandoned at any time prior to the Closing by the Owners, if Purchaser has breached any of its representations, warranties, covenants or other agreements set forth in this Agreement or any such representation or warranty shall have become untrue after the date of this Agreement (in either case, a “Purchaser Terminating Breach”), and such Purchaser Terminating Breach (i) would give rise to the failure of a condition set forth in Sections 6.3(a) or 6.3(c) and (ii) if such breach is reasonably capable of being cured, such breach shall not have been cured prior to the earlier of (x) twenty (20) days following notice of such breach and (y) the Outside Date; provided, that the Owners shall have no right to terminate this Agreement pursuant to this Section 7.4 if there is an uncured Company Terminating Breach at the time the Owners seek to terminate under this Section 7.4.
Termination by the Owners. Any failure by the Lessee to perform any of its covenants, liabilities, obligations or responsibilities under this Agreement shall be a default. The Owners may give the Lessee written notice of a default. If the default is not remedied within thirty (30) days after receipt of the notice, provided the default can reasonably be cured within that time, or, if not, if the Lessee has not within that time commenced action to cure the same or does not after such commencement diligently prosecute such action to completion, the Owners may terminate this Agreement by delivering notice to the Lessee of the Owner’s termination of this Agreement.
