Telephone Meetings. ‌ A meeting of the Board or any committee of the Board may be held, or a Trustee may participate in a meeting of the Board, by means of telephone or such other communication facilities which permit all persons participating in the meeting to speak to and hear each other, and a Trustee participating in a meeting by that means is deemed to be present at the meeting and will be counted in determining whether a quorum is present.
