Common use of Systems Integration Clause in Contracts

Systems Integration. Subject to Section 7.5(b) and (c) hereof, from and after the date hereof, ▇▇▇▇ and MBFI shall cause OB Bank and MB Bank and their respective directors, officers and employees to, and shall make all reasonable efforts (without undue disruption to either business) to cause OB Bank’s data processing consultants and software providers and MB Bank’s data processing service providers to, reasonably cooperate and assist OB Bank or MB Bank in connection with an electronic and systematic conversion of all applicable data of OB Bank or MB Bank, as applicable, to the system selected by MBFI, including the training of OB Bank employees or MB Bank employees, as applicable, without undue disruption to either business, during normal business hours and at the expense of MBFI (not to include OB Bank’s standard employee payroll).
