Systems Integration. If required, integration of the SERVICE with custom or specialized Third- Party Applications and/or external data sources, are subject to a programming fee of $200/hour applies.

Unless otherwise indicated in Schedule 1 the Licensee and Bayer will configure and validate the connectivity of the Licensed Software to one PACS, DICOM Router, and / or (n) modalities of the Licensee, and to one source for Inbound HL7 Order messages. Integration of multiple inbound data sources will be as purchased by the Licensee and summarized in Schedule 1. Licensee and Bayer Technical Specialist will also configure additional outbound interfaces connecting the Licensed Software to Third Party applications hosted on the Licensee’s Local and Wide Area Network. Outbound interfaces connections to PACS and Worklist will be as required by the Application Software listed in Schedule 1. Additional outbound reporting interfaces to EMR/RIS, Speech Reporting, or other components of Licensee infrastructure will be as purchased and referenced in Schedule 1.
Systems Integration. 11.1 The Referrer will integrate the Referrer Platform with the Services and the ISX or ISX EU platforms.

Subject to Section 7.5(b) hereof, from and after the date hereof, MFB and MutualFirst shall cause MFB Financial and XXXX and their respective directors, officers and employees to, and shall make all reasonable efforts (without undue disruption to either business) to cause MFB Financial’s data processing consultants and software providers and XXXX’x data processing service providers to, reasonably cooperate and assist MFB Financial or XXXX in connection with an electronic and systematic conversion of all applicable data of MFB Financial or XXXX, as applicable, to the system selected by MutualFirst, including the training of MFB Financial employees or XXXX employees, as applicable, without undue disruption to either business, during normal business hours and at the expense of MutualFirst (not to include MFB Financial’s standard employee payroll).

Subject to Section 7.5(b) and (c) hereof, from and after the date hereof, XXXX and MBFI shall cause OB Bank and MB Bank and their respective directors, officers and employees to, and shall make all reasonable efforts (without undue disruption to either business) to cause OB Bank’s data processing consultants and software providers and MB Bank’s data processing service providers to, reasonably cooperate and assist OB Bank or MB Bank in connection with an electronic and systematic conversion of all applicable data of OB Bank or MB Bank, as applicable, to the system selected by MBFI, including the training of OB Bank employees or MB Bank employees, as applicable, without undue disruption to either business, during normal business hours and at the expense of MBFI (not to include OB Bank’s standard employee payroll).
Systems Integration. From and after the date hereof, Merchants and Merchants Bank shall and shall cause their directors, officers and employees to, and shall use commercially reasonable efforts (during normal business hours and without undue disruption to either business) to cause Merchants Bank’s data processing consultants and software providers to, cooperate and assist Community, upon Community’s reasonable request, in connection with an electronic and systems conversion of all applicable data of Merchants and its Subsidiaries concerning the Loans, deposits and other assets and Liabilities of Merchants and its Subsidiaries to the Community systems. Merchants and its Subsidiaries shall cooperate with Community in connection with the planning for the efficient and orderly combination of the parties and the operation of Community Bank (including the former operations of Merchants Bank) after the Bank Merger, and in preparing for the consolidation of appropriate operating functions to be effective at the Effective Time or such later date as Community may decide. After the execution of this Agreement, Merchants and Community shall each designate an individual to serve as liaison concerning the transfer of data processing information and other similar operational matters. Notwithstanding any other provision contained in this Agreement, (i) neither Community nor Community Bank shall be permitted to exercise control of Merchants or Merchants Bank prior to the Effective Time, and (ii) neither Merchants nor Merchants Bank shall be under any obligation to act in a manner that could reasonably be deemed to constitute anti-competitive behavior under federal or state antitrust Laws.
