Setup Services. As part of the Services, Service Provider shall take those actions necessary, as reasonably agreed to by Spinco, to prepare for providing the Ongoing Services or any Additional Services (the “Setup Services”), and Spinco shall pay or reimburse Service Provider fifty percent (50%) of the Reimbursable Set-Up Costs in respect of the Setup Services (whether conducted prior to or after the Effective Date). For purposes of this Agreement, “Reimbursable Set-Up Costs” means the third-party costs to provide the Setup Services; provided that Reimbursable Set-Up Costs shall not include costs for shared applications in respect of Setup Services to the extent such Setup Services are for Service Provider’s benefit whether conducted prior to or after the Effective Date and shall in no event include costs incurred or intended to be incurred independent of the transactions contemplated by this Agreement, the Separation Agreement or the Merger Agreement. If Spinco does not agree to a Setup Service, the parties shall work together to agree upon a commercially reasonable alternative arrangement, or Spinco may modify the scope of the Ongoing Services or Additional Services, as the case may be, such that such Setup Service is not necessary, subject to Service Provider’s consent. If the parties fail to agree upon an alternative arrangement, Spinco may, with notice to Service Provider, terminate the applicable Ongoing Services or Additional Services, as applicable.
Setup Services. 2.1 The Setup Services comprise the initial setup and installation of the Access, in order to prepare the delivery of the Access Services.
Setup Services. Agency is being hired to combine and develop an assemblage of text, graphics, applications and content supplied by each party into a World Wide Web "Web Site" under this Agreement.
Setup Services. Subject to Customer’s payment of the Setup Services fees, PS will provide the Setup Services at the times and in the manner described in each Order Form to this Agreement.
Setup Services. Fifty percent (50%) of the Setup Services fee for the initial deployment or subsequent enhancements (if applicable) will be invoiced and presented with each Order Form. If an Institution delays deployment of any feature, it is responsible for the fixed flat pricing stated on the Order Form for all features, if applicable. The Institution must pay the Setup invoice in order to engage a system Project Manager. All other invoices are due within thirty (30) days of receipt.
Setup Services. 2.1 Customer account setup is provided as a self-service to Customer on our website with automated account creation. Once the Customer has signed up for an account using a valid email address, the account is available immediately including an initial standard setup.
Setup Services. 3.1. Each Party shall work in good faith within one (1) month of the relevant Order Effective Date to agree appropriate project specifications and project schedule for the implementation of the Supplies. Following such agreement we shall provide the Setup Services (as described in the Clauses set out below).
Setup Services. Unless otherwise indicated in the Cover Document, and provided that the Customer in a timely manner delivers all requested information to dINK nv, dINK nv shall perform the initial setup of the dINK Instance.
Setup Services. “Setup Services” includes the creation, initialization and configuration of a new Account for the Customer on the Software Platform. Unless otherwise requested by the Customer, the Account will be created with an empty database ready for data to be input. The Provider is able to import data supplied by the Customer, provided that the data conforms to the format(s) specified in the Documentation. In this instance, the data import service is considered to be part of the Setup Services. Such data import service will incur an additional charge depending on the amount of work involved.
