Common use of Sustainability Clause in Contracts

Sustainability. Tenant acknowledges that the Building will be developed and operated in a sustainable and resource efficient manner. Tenant shall use commercially reasonable efforts to comply with the terms of Landlord’s sustainability practices and procedures attached hereto as Exhibit G. Tenant shall comply with all of Landlord’s commercially reasonable sustainability practices and procedures in effect from time to time including those addressing building operations and maintenance; chemical use; construction practices and materials; indoor air quality; energy efficiency; water efficiency; recycling programs; maintenance programs; and systems upgrades to meet green building energy, water, indoor air quality, and lighting performance standards. Tenant acknowledges that Landlord has designed the Building to qualify for and intends to seek LEED certification and may apply for any other third-party rating system concerning the environmental compliance or sustainability of the Building or the Premises as the same may change from time to time (collectively, “Sustainability Standards”). Provided the following neither materially increase Tenant’s costs nor materially decrease Tenant’s rights and privileges granted elsewhere in this Lease, (i) Tenant shall comply with all reasonable requirements imposed on the Building from time to time as a result of or in connection with any applicable Sustainability Standard, and (ii) shall not take any action that could cause the Building to lose its certification or status under any applicable Sustainability Standard. Landlord shall be responsible for any reporting required under any certification or rating system and the cost shall be included in Operating Expenses. Tenant shall comply with all reasonable Landlord requirements regarding the collection, sorting, separation, and recycling of garbage and recyclable materials. Landlord may refuse to collect or accept from Tenant any waste that is not separated and sorted, and to require Tenant to arrange for such collection at Tenant’s sole cost and expense, utilizing a contractor satisfactory to Landlord.

Provided the following neither materially increase it can be done without material adverse operational or fiscal impact to Tenant’s costs nor materially decrease Tenant’s rights and privileges granted elsewhere in this Lease, (i) Tenant shall use reasonable business efforts to comply with all reasonable requirements imposed on the Building from time to time as a result of or in connection with any applicable Sustainability Green Standard, and (ii) shall not take use reasonable efforts to avoid any action that could cause the Building to lose its certification or status under any applicable Sustainability Green Standard. Tenant shall operate windows and use window coverings as directed by Landlord to minimize heat gain or loss in the Building. Landlord shall be responsible for any reporting required under any certification or rating system and the cost shall be included in Operating ExpensesCosts. Tenant shall accurately respond to all requests from Landlord with respect to Tenant’s sustainability practices and as required to comply with or report on the Green Standards or for Landlord to compile reports for any governmental agency or certifying body. Tenant shall comply with all reasonable Landlord requirements regarding the collection, sorting, separation, and recycling of garbage and recyclable materials. Landlord may refuse to collect or accept from Tenant any waste that is not separated and sorted, and to require Tenant to arrange for such collection at Tenant’s sole cost and expense, utilizing a contractor satisfactory to Landlord. Tenant acknowledges that these requirements are a material term of this Lease. Tenant shall reimburse Landlord upon demand for any damages, penalties or additional costs incurred by Landlord if Tenant fails to comply with the terms of this Section after reasonable notice that Landlord believes that Tenant has breached this Section and has failed to cure such breach.

Landlord shall have no liability to Tenant if, once obtained, any such Green Building Standards rating or certification lapses and is not reinstated by Landlord. Tenant and any occupants of the Leased Premises shall comply with all the Building’s Sustainability Practices and the applicable Green Building Standards, if any, so long as the foregoing shall not interfere with Tenant’s use of the Premises for the Permitted Uses hereunder. Sustainability. Tenant acknowledges We and you wish to improve and be accountable for the energy efficiency of the Estate and as such wish to promote the reduction of emissions, promote the reduction and recycling of waste and ensure the environmental sustainability of resources. You and we will: co-operate and use reasonable endeavours to agree and comply with an energy management plan to aid the sustainability of resource use (including, without limitation, a green travel plan and such other environmental policies issued by us to you from time to time); co-operate and use reasonable endeavours to agree and operate reasonable initiatives to reduce, reuse, and recycle waste in connection with the efficiency of the use of energy or water, the Environmental Performance or sustainability characteristics of the Estate, including the EPC and BREEAM ratings, or for the purposes of the CRC Scheme provided that the Building will be developed parties shall have due regard to the costs associated with implementing any initiatives compared to the benefit to you of the outcome of any such initiatives; maintain and operated share energy data and other information reasonably required to monitor energy and resource consumption; keep the data disclosed pursuant to clause 5.7.2.3 confidential and shall only use such data for the purposes of ensuring that the Estate is run in a sustainable way that minimises its environmental impact and resource efficient manner. Tenant we shall ensure that similar restrictions on the publication and use commercially of such data are placed on our managing agents and any other party responsible for the operation or management of the Estate; use reasonable efforts endeavours to comply ensure that the Estate is used and any services provided under schedule 4 are performed in accordance with the terms of Landlord’s sustainability practices any energy management plan, and procedures attached hereto as Exhibit G. Tenant acknowledges that Landlord has designed the Building documents in relation to qualify for and intends to seek LEED certification and may apply for any other third-party rating system concerning the environmental compliance or sustainability your consumption of the Building or electricity at the Premises as the same may change from time to time (collectively, “Sustainability Standards”)we reasonably request. Provided the following neither that in respect of this clause 5.7 such measures shall be economically viable and shall not materially increase Tenant’s the costs nor materially decrease Tenant’s rights which you would be required to incur pursuant to this lease.
