SUBSCRIPTION AND PURCHASE OF DEBENTURES. (a) Contemporaneously with the execution and delivery of this Trust Agreement, an Administrative Trustee, on behalf of the Trust, shall execute in accordance with Section 502 and deliver to the Depositor, Common Securities Certificates, registered in the name of the Depositor, in an aggregate amount of Common Securities having an aggregate Liquidation Amount of $---------- against payment by the Depositor of such amount. Contemporaneously therewith, an Administrative Trustee, on behalf of the Trust, shall subscribe to and purchase from the Depositor Debentures, registered in the name of the Property Trustee on behalf of the Trust and having an aggregate principal amount equal to $----------, and, in satisfaction of the purchase price for such Debentures, the Property Trustee, on behalf of the Trust, shall deliver to the Depositor the sum of $----------.
SUBSCRIPTION AND PURCHASE OF DEBENTURES. Contemporaneously with the execution of this Trust Agreement, an Administrative Trustee, on behalf of the Trust, shall subscribe to and purchase from the Depositor Junior Debt Securities, registered in the name of the Trust and having an aggregate principal amount equal to $_____________, and, in satisfaction of the purchase price for such Junior Debt Securities, the Property Trustee, on behalf of the Trust, shall deliver to the Depositor the sum of $_____________, such amount being the sum of the amounts delivered to the Property Trustee pursuant to Section 2.4 and (ii) the first sentence of this Section 2.5.
SUBSCRIPTION AND PURCHASE OF DEBENTURES. (a) Contemporaneously with the execution and delivery of this Trust Agreement, an Administrative Trustee, on behalf of the Trust, shall execute in accordance with Section 502 and deliver to the Depositor, Common Securities Certificates, registered in the name of the Depositor in an aggregate amount of Common Securities having an aggregate Liquidation Amount of $___________ against payment by the Depositor of such amount, which amount such Administrative Trustee shall promptly deliver to the Property Trustee. Contemporaneously therewith, an Administrative Trustee on behalf of the Trust, shall subscribe to and purchase from the Depositor corresponding amounts of Debentures, registered in the name of the Property Trustee on behalf of the Trust and having an aggregate principal amount equal to $____________ (being the sum of the amounts delivered to the Property Trustee pursuant to (i) the second sentence of Section 204; and (ii) the first sentence of Section 205(a)), and, in satisfaction of the purchase price for such Debentures, the Property Trustee, on behalf of the Trust, shall deliver to the Depositor the sum of $__________.
SUBSCRIPTION AND PURCHASE OF DEBENTURES. (a) Contemporaneously with the execution and delivery of this Trust Agreement, an Administrative Trustee, on behalf of the Trust, shall execute in accordance with Section 502 and deliver to the Depositor, Common Securities Certificates, registered in the name of the Depositor in an aggregate amount of Forty-Six Thousand Four Hundred (46,400) shares of Common Securities having an aggregate Liquidation Amount of Four Hundred Sixty-Four Thousand Dollars ($464,000) against payment by the Depositor of such amount, which amount such Administrative Trustee shall promptly deliver to the Property Trustee. Contemporaneously therewith, an Administrative Trustee on behalf of the Trust, shall subscribe to and purchase from the Depositor, Debentures registered in the name of the Property Trustee on behalf of the Trust and having an aggregate principal amount equal to Fifteen Million Four Hundred Sixty-Four Thousand Dollars ($15,464,000) (being the sum of the amounts delivered to the Property Trustee pursuant to: (i) the second sentence of Section 204; and (ii) the first sentence of Section 205(a)), and, in satisfaction of the purchase price for such Debentures, the Property Trustee, on behalf of the Trust, shall deliver to the Depositor the sum of Fifteen Million Four Hundred Sixty-Four Thousand Dollars ($15,464,000).
SUBSCRIPTION AND PURCHASE OF DEBENTURES. Contemporaneously with the execution and delivery of this Trust Agreement or at the First Closing, an Administrative Trustee, on behalf of the Trust, shall execute in accordance with Section 502 and deliver to the Depositor, Common Securities Certificates, registered in the name of the Depositor, in an aggregate amount of Common Securities having an aggregate Liquidation Amount of $310,000 against payment by the Depositor of such amount to the Property Trustee. Contemporaneously therewith, an Administrative Trustee, on behalf of the Trust, shall subscribe to and purchase from the Depositor Debentures, registered in the name of the Property Trustee on behalf of the Trust and having an aggregate principal amount equal to $10,310,000, and, in satisfaction of the purchase price for such Debentures, the Property Trustee, on behalf of the Trust, shall deliver to the Depositor the sum of $10,310,000. Contemporaneously with the exercise of the Underwriter's Over-Allotment Option at the Second Closing, an Administrative Trustee, on behalf of the Trust shall execute in accordance with Section 502 and deliver to the Depositor a Common Securities Certificate, registered in the name of the Depositor, in an aggregate amount of Common Securities having an aggregate Liquidation Amount equal to the quotient of the Liquidation Amount of the Trust Preferred Securities, rounded up to the nearest $5,000, up to $65,000 in such Liquidation Amount, against payment by the Depositor of such amount. Contemporaneously therewith, an Administrative Trustee, on behalf of the Trust, shall subscribe to and purchase from the Depositor Debentures, registered in the name of the Property Trustee on behalf of the Trust and having an aggregate principal amount equal to the sum of the Liquidation Amount of the Common Securities determined in accordance with the foregoing sentence and the Liquidation Amount of the Trust Preferred Securities purchased upon exercise of the Underwriters' Over-Allotment Option, and, in satisfaction of the purchase price for such Debentures, the Property Trustee, on behalf of the Trust, shall deliver to the Depositor such sum.
SUBSCRIPTION AND PURCHASE OF DEBENTURES. (a) Contemporaneously with the execution and delivery of this Trust Agreement, an Administrative Trustee, on behalf of the Trust, shall execute in accordance with Section 502 and deliver to the Depositor, Common Securities Certificates, registered in the name of the Depositor, in an aggregate amount of Common Securities having an aggregate Liquidation Amount of $___________ against payment by the Depositor of such amount. Contemporaneously therewith, an Administrative Trustee, on behalf of the Trust, shall subscribe to and purchase from the Depositor Debentures, registered in the name of the Property Trustee on behalf of the Trust and having an aggregate principal amount equal to $___________, and, in satisfaction of the purchase price for such Debentures, the Property Trustee, on behalf of the Trust, shall deliver to the Depositor the sum of $___________.
SUBSCRIPTION AND PURCHASE OF DEBENTURES. (a) Contemporaneously with the issuance of Preferred Securities and Common Securities pursuant to Section 2.4(a) and Section 2.5(a), an Administrative Trustee, on behalf of the Trust, will subscribe to and purchase from the Depositor Debentures registered in the name of the Trust and having an aggregate principal amount equal to $206,186,000. In satisfaction of the purchase price for such Debentures, the Trust will deliver to the Depositor the sum of $206,186,000.
SUBSCRIPTION AND PURCHASE OF DEBENTURES. Contemporaneously with the execution and delivery of this Trust Agreement, an Administrative Trustee, on behalf of the Trust, shall execute and deliver Common Securities certificates, registered in the name of the Depositor, in an aggregate amount of 21,340 Common Securities having an aggregate liquidation amount of $533,500, against receipt of the aggregate purchase price of such Common Securities of $533,500, which amount such Administrative Trustee shall promptly deliver to the Property Trustee. Contemporaneously with the execution and delivery of this Trust Agreement, an Administrative Trustee, on behalf of the Trust, shall subscribe to and purchase from the Depositor Debentures, registered in the name of the Property Trustee on behalf of the Trust and having an aggregate principal amount equal to $17,783,500, and, in satisfaction of the purchase price for such Debentures, an Administrative Trustee, on behalf of the Trust, shall transfer $17,783,500 to the Depositor.
SUBSCRIPTION AND PURCHASE OF DEBENTURES. Issuance of the -------------------------------------------------------- Common Securities. Contemporaneously therewith, an Administrative Trustee, on behalf of the Trust, shall execute in accordance with Section 5.2 and deliver to the Depositor Common Securities Certificates registered in the name of the Depositor, in an aggregate amount of [ ] Common Securities having an aggregate Liquidation Amount of $[ ] against receipt by the Property Trustee of the aggregate purchase price of such Common Securities from the Depositor of the sum of $[ ].
SUBSCRIPTION AND PURCHASE OF DEBENTURES. Issuance of the Common Securities. Contemporaneously with the execution and delivery of this Trust Agreement, the Administrative Trustees, on behalf of the Trust, shall subscribe to and purchase from the Depositor Debentures, registered in the name of the Trust and having an aggregate principal amount equal to $103,092,775, and, in satisfaction of the purchase price for such Debentures, (x) the Administrative Trustee, on behalf of the Trust, shall deliver to the Depositor the sum of $100,000,000, and (y) contemporaneously therewith the Administrative Trustees, on behalf of the Trust, shall execute and deliver to the Depositor Common Securities Certificates, registered in the name of the Depositor, in an aggregate amount of 123,711 Common Securities having an aggregate Liquidation Amount of $3,092,775. The consideration received by the Trust for the issuance of the Common Securities shall constitute a contribution to the capital of the Trust and shall not constitute a loan to the Trust.
