Issuance of the Common Securities. As provided in the Agreement of Merger, at the Effective Time each of the Predecessor Common Securities will be converted in the Merger into one Common Security, as a result of which 4,640 Common Securities, having an aggregate Liquidation Amount of $4,640,000, shall be issued and outstanding immediately following the Merger. Each certificate that immediately prior to the Merger evidenced Predecessor Common Securities shall thereafter evidence the Common Securities into which such Predecessor Common Securities shall have been converted.

Issuance of the Common Securities. SUBSCRIPTION AND PURCHASE OF JUNIOR SUBORDINATED DEBENTURES.
