Stock Restriction Agreements. If any officer, employee or consultant (including each Key Employee) receives any shares of Class B Common Stock or rights or options to purchase shares of Class B Common Stock pursuant to a stock purchase or option plan or other employee stock incentive program, cause each such officer, employee and consultant to execute and deliver an agreement in a form as deemed appropriate by the affirmative vote of a majority of the members of the Board of Directors.
Stock Restriction Agreements. The Company has furnished to special counsel to the Purchasers true and complete copies of all stock restriction or other agreements pursuant to which shares of the Company's Common Stock have been issued.
Stock Restriction Agreements. Each person who, pursuant to any benefit, bonus or incentive plan of the Company, holds any currently outstanding shares of Common Stock or other securities of the Company or any option, warrant or right to acquire such shares or other securities, has entered into or is otherwise bound by, an agreement granting the Company (a) the right to repurchase the shares for the original purchase price, or to cancel the option, warrant or right, in the event the holder's employment or services with the Company terminate for any reason, subject to release of such repurchase or cancellation right on terms and conditions specified by the Board of Directors of the Company, and (b) a right of first refusal with respect to all such shares. All currently outstanding shares of Common Stock have been sold and issued for a cash purchase price of not less than $.001 per share.
Stock Restriction Agreements. The Company will cause each person now or hereafter employed by the Company or any subsidiary of the Company to enter into stock restriction and market stand-off agreements substantially in form acceptable to the Investors.

Stock Restriction Agreements. Each of the Continuing Employee Stockholders shall have executed Stock Restriction Agreements with Parent.
Stock Restriction Agreements. The Stock Restriction Agreements shall have been terminated and the Company and the Shareholders shall have no continuing obligations thereunder.
