Unvested Portion definition

Unvested Portion means any Option with respect to the number of shares of Common Stock for that Option that are not exercisable as of the date of the closing of a Transaction resulting in a Change in Control. In the case of a Change in Control which occurs as the results of a series of transactions, the closing date shall be deemed to be the closing date of the final Transaction affecting the Change in Control.
Unvested Portion means, at any time, the portion of the Option which is then unvested in accordance with the Grant Notice and this Agreement.
Unvested Portion means that portion of an Option or an SAR granted to a Participant or Grantee hereunder which is not a Vested Portion. In the event a Participant or a Grantee is granted more than one Option or SAR, the "Unvested Portion" shall refer to all of such Unvested Portions.

  • If the Participant’s Employment is terminated for any reason other than those reasons specifically addressed in Section 4(c), and except as otherwise provided in Section 4(b), the Unvested Portion of the Option shall be canceled and the Participant shall have no further rights with respect thereto and the Vested Portion of the Option shall remain exercisable for the period set forth in Section 5(a) of this Agreement.

  • Notwithstanding the foregoing and for the avoidance of doubt, the Unvested Portion of each Outstanding Award shall be subject to accelerated vesting in accordance with Section 6(b)(iii) below.

More Definitions of Unvested Portion

Unvested Portion means, at any time, the portion of the Option which is then unvested in accordance with Section 3 of this Agreement.
Unvested Portion means the remaining Account balance after subtracting the Vested Portion.
